Of counsel

Of counsel is often the title of an attorney employed by a law firm or organization to assist in litigation but who is usually not an associate or partner. The title is often bestowed on part-time or retired attorneys.

In the United States, the title of "Of counsel" carries with it particular ethical responsibilities. For the purposes of a conflict of interest, a legal relationship sufficient to permit the title of "Of counsel" is also able to create conflicts.

For many major firms, promotion to "Of counsel" is a way to hire senior attorneys without making them partner, or promote associates who will not become partner or who may become partner at a later date.
